Public offer
Version of 24 October 2026
1. General provisions
This document is a public offer by VEXEL (the “Contractor”) to enter into an agreement for services in development, design, setup, promotion and support of exchangers, websites, bots and other digital products on the terms below. The Client is any person who has accepted this offer.
The specific task, price and approximate timeline are set in the project agreement — a description both parties have confirmed in writing (by email or in Telegram). If the project agreement differs from this offer, the project agreement prevails.
Prices on the website are “from” guide prices. The final price depends on the scope of the task and is stated in the project agreement.
2. Acceptance
The offer is accepted and the agreement is concluded when the Client confirms the project agreement in writing or pays through the escrow service — whichever happens first. By accepting the offer, the Client agrees to all of its terms and confirms being at least 18 years old.
3. Communication and official channels
- All arrangements are made in writing only: in Telegram @vexelhq or by email contact@vexel.services.
- Payment details are sent only through these channels. Messages from other accounts and addresses on behalf of VEXEL are not from the Contractor; the Contractor is not responsible for payments made to such details.
- Verbal arrangements and promises in third-party chats have no force until confirmed in writing in an official channel.
4. Estimate and start
- An estimate of price and approximate timeline is free once the task is described.
- Work starts after the agreement is confirmed, the amount is deposited with the escrow, and access and materials are received.
- The Contractor may decline a task before it starts without giving reasons.
5. Payment
- All deals, large and small, go through an independent escrow (see below): the amount is deposited with the escrow before work starts and released to the Contractor after delivery. A large project can be split into stages, each as a separate deal.
- Prices are in US dollars. Payment is in cryptocurrency at the rate at the time of payment; any other method only by individual arrangement.
- Payment is considered made when the full amount has reached the escrow or the Contractor’s details. Network, exchange or payment service fees are paid by the sender.
- The Client checks the payment details before sending. Funds sent to a wrong address, in a different network or not to the Contractor’s details are not refunded or compensated by the Contractor.
- If the Client cancels after work has started, the completed part is paid from the amount held by the escrow.
Independent escrow. All deals go through an independent escrow. This is a third party: the escrow holds the deal amount, releases it only once the conditions are met, and in a dispute makes a decision under its own rules. The parties choose the escrow by agreement. The Contractor is not affiliated with any of the escrows and is not responsible for their work. Options:
- Gross — a private escrow agent handling deals since 2021. Formerly the official escrow of the Mipped forum; since 2024 has an automated escrow bot. Telegram: @gross (also @vonivotul), bot @BANKER, official links in @JoinGrossBot.
- P2P Army — a toolkit for P2P crypto trading, operating since 2022, with an escrow service for deals: p2p.army/en/escrow.
- Partnerkin — a media outlet on traffic arbitrage and affiliate programs, operating since 2014, offering escrow for crypto deals: partnerkin.com/garant/crypto.
6. Support (subscription)
A subscription is a monthly allowance of the Contractor’s hours that the Client uses for any tasks on their project: support, fixes, improvements, development, bots, integrations.
Plans (paid monthly in advance):
- $250 — up to 5 hours a month, hourly rate $50;
- $600 — up to 15 hours a month, hourly rate $40;
- $1,200 — up to 40 hours a month, hourly rate $30.
How hours are counted:
- Each task is estimated in hours before work starts, and the estimate is agreed with the Client.
- The agreed estimate is deducted from the allowance, not the time actually spent.
- If the remaining allowance is not enough for a task, the missing hours are, at the Client’s choice, paid at the hourly rate of their plan or the task moves to the next month.
- If the allowance is regularly exceeded, the Client is offered a higher plan.
- Unused hours do not roll over to the next month.
- The subscription can be cancelled at any time. A paid month is not refunded; its hours stay available until the end of the month.
Example. $600 plan, 12 of 15 hours used. A new task is estimated at 8 hours: 3 hours are deducted from the allowance and 5 hours are paid separately — 5 × $40 = $200, or the task moves to the next month.
7. Timelines
Timelines are approximate and run from the moment the amount is deposited with the escrow and access and materials are received from the Client. If access, materials or answers are delayed, the timeline shifts by that time. If the Client is out of contact for more than 30 days, the project is paused; it resumes with a new timeline estimate.
8. Client’s obligations
- Provide access, materials and answers needed for the task on time.
- Hold lawful rights to everything provided: texts, images, logos, databases, as well as licences for the engine, hosting, domains and paid services of the project. These services are paid by the Client.
- Be solely responsible for the legality of their business, checking their own customers and complying with the requirements that apply to their activity.
- Keep their own backups of the project before and after the work.
9. Access and security
- Access is used only for the task and is not shared with third parties.
- The Contractor may involve assistants under the Contractor’s responsibility; the same confidentiality terms apply to them.
- After the work is complete, the Client changes the passwords and keys that were provided. From delivery onwards, the Contractor is not responsible for actions with access that has not been changed.
10. Delivery and acceptance
- The result is delivered tested, according to the list in the agreement.
- The Client checks the result and sends comments. Comments within the scope of the agreement are fixed free of charge.
- The work is accepted when the Client confirms acceptance or closes the deal with the escrow. If within 7 days of delivery the Client has not sent comments or has not been in contact, the work is considered accepted and the amount held by the escrow is released to the Contractor.
- New requests beyond the agreement are a separate task with a separate estimate.
11. Warranty
- For 14 days after acceptance, the Contractor fixes errors in their own work free of charge — when what was done does not work as described in the agreement: a fault in code, setup or an integration made by the Contractor.
- The warranty covers fixing errors, not improvements. It does not include new features and requests, design and text changes, changes to an already accepted task, or failures caused by changes made without the Contractor, updates of the engine, hosting and third-party services, or changes to their rules and APIs.
- Anything outside the warranty is a separate task: the Contractor estimates it and the Client pays according to the estimate. If the Client has a support subscription (section 6), the task can be done using its hours.
12. Ownership of the result
Code, design and other materials made for the project pass to the Client after full payment. The result may not be used before full payment. Ready-made libraries and the Contractor’s own tools used across projects remain with the Contractor — the Client receives the right to use them as part of the project.
13. Confidentiality
- The parties do not disclose to third parties each other’s access, data, terms and business details learned during the work — during the work and for 2 years after it ends.
- This does not apply to information that is already public, or where disclosure is lawfully required by an authorised body.
- How the data of website visitors and of the Client’s project is processed is described in the privacy policy.
14. Portfolio
Completed work may be shown in the portfolio only in anonymised form: without names, domains or data. At the Client’s request it is not shown at all.
15. Liability
- The Contractor’s liability for a project is limited to the amount paid for that project.
- The Contractor is not liable for lost profit, data loss where the Client has no backups, blocks and decisions of third parties (hosting providers, payment systems, monitoring sites, regulators), or for the consequences of changes made without the Contractor.
- Promotion work does not guarantee a specific number of customers, orders or rankings.
- The Client is responsible for the legality of their business and of the content published using the result of the work.
16. Force majeure
The parties are not liable for delays and non-performance caused by circumstances beyond their control: outages and blocks of infrastructure, hosting, payment systems and communications, decisions of state authorities, natural disasters. Timelines shift by the duration of such circumstances. If they last more than 30 days, either party may end the work under the “Termination” section.
17. Termination
Either party may end the work with written notice. The completed part is paid for, and the materials for it are handed over after payment.
18. Claims and disputes
- A claim is sent in writing to an official channel (section 3) with a description of the problem — the parties resolve it promptly in the normal course of work.
- If no agreement is reached, the dispute is decided by the independent escrow that handled the deal, under its own rules.
19. Changes to the offer
The Contractor may update this offer. A new version applies to projects started after its publication; for projects already started, the version in effect on the date of acceptance applies. The version date is shown at the top of the page.
